1. Acceptance of Terms

By accessing or using Shipmotion ("the Service"), operated by Shipmotion, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Shipmotion is a platform for creating, personalizing, and delivering motion graphic videos at scale. The Service includes an AI-assisted video editor, template library, batch rendering engine, analytics dashboard, and API access for programmatic video generation.

The Service is provided "as is" and we make no guarantees regarding uptime, rendering speed, or availability, except as expressly stated in a separately executed service level agreement (SLA). We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts and Registration

To use the Service, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to: (a) provide accurate and complete registration information; (b) promptly update your account information if it changes; (c) notify us immediately of any unauthorized access to your account; and (d) not share your account credentials with third parties.

We reserve the right to suspend or terminate accounts that are inactive for more than 12 months, that violate these Terms, or that we reasonably believe are being used fraudulently.

4. User Conduct and Prohibited Uses

You agree not to use the Service to:

  • Create, distribute, or promote content that is unlawful, defamatory, harassing, threatening, obscene, or otherwise objectionable
  • Generate videos containing misinformation, deepfakes, or deceptive impersonation of real individuals without their consent
  • Send unsolicited bulk video communications (spam) or violate applicable anti-spam laws including CAN-SPAM and GDPR
  • Infringe upon any third party's intellectual property rights, trademarks, or copyrights
  • Attempt to reverse engineer, decompile, or derive source code from the Service
  • Use automated tools, bots, or scrapers to access the Service beyond the provided API
  • Circumvent usage limits, rate limits, or rendering quotas associated with your plan
  • Resell, sublicense, or redistribute the Service without written permission
  • Interfere with or disrupt the Service's infrastructure, security, or other users' access

We reserve the right to remove content and suspend accounts that violate these terms, with or without prior notice depending on the severity of the violation.

5. Intellectual Property Rights

Your Content. You retain ownership of all content you create, upload, or input into the Service, including video compositions, images, text, logos, and data files ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process, render, store, and transmit your User Content solely for the purpose of providing the Service to you.

Our Service. The Service, including its software, design, templates, AI models, documentation, and all related intellectual property, is owned by Shipmotion, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

Templates. Videos created using our templates may be used for any lawful commercial or personal purpose. You may not, however, extract, redistribute, or resell the templates themselves as standalone assets.

6. Payment and Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are quoted in U.S. dollars unless otherwise stated.

Billing Cycle. Subscriptions are billed monthly or annually, depending on the plan you choose. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

Overages. If your usage exceeds your plan's rendering quota, additional videos will be billed at the overage rate specified for your plan. We will notify you when you approach your quota limit.

Refunds. We offer a 14-day refund for new subscriptions if you are not satisfied with the Service. After 14 days, fees are non-refundable except where required by applicable law. Refunds for annual plans will be prorated based on the number of months used.

Payment Processing. Payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for the applicable fees. We do not store your full credit card number on our servers.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) rendered videos will be free from defects; (c) the AI-generated content will be accurate, appropriate, or suitable for any specific purpose; or (d) the Service will meet your specific requirements.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPMOTION, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Shipmotion, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third party's rights, including intellectual property rights; or (e) videos you create and distribute through the Service, including any claims related to the content, recipients, or manner of distribution of such videos.

10. Termination

You may cancel your account at any time through your account settings or by contacting us at support@shipmotion.ai. Upon cancellation, your access to paid features will continue until the end of your current billing cycle.

We may suspend or terminate your account immediately if: (a) you breach these Terms; (b) we are required to do so by law; (c) your account has been flagged for fraudulent or abusive activity; or (d) we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, during which you may request an export. After 30 days, we may delete your data in accordance with our data retention practices.

11. Changes to Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration administered by JAMS in San Francisco, California, in accordance with its Streamlined Arbitration Rules. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

13. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any applicable order forms or SLAs, constitute the entire agreement between you and Shipmotion, Inc. regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
